Emaar Properties, Dubai's largest property developer, has made a cash offer of Dh15 per share to minority shareholders of its residential arm, Emaar Development, in a move aimed at taking the subsidiary fully private and ending its separate listing on the Dubai Financial Market.

Emaar Development has long been the engine room of Emaar's home sales, generating a large share of the parent group's profit through major residential projects across Downtown Dubai, Dubai Hills Estate and other master communities. A portion of its shares currently trades publicly, and the buyout offer is designed to consolidate full ownership under Emaar Properties.

The move fits a broader pattern among UAE family-controlled conglomerates that have moved in recent years to simplify shareholding structures, cutting the administrative and compliance costs of running multiple separately listed units. By folding Emaar Development back into the parent company, Emaar Properties would be able to make decisions on large residential launches without needing separate approval from outside shareholders.

The offer is now before Emaar Development's minority shareholders, who will decide whether to accept the Dh15-per-share price. Dubai's property market has posted strong growth in recent years, and Emaar Development has been one of the biggest beneficiaries of that boom, driven largely by sustained demand for off-plan apartments and villas in its flagship communities.

If approved, the deal would rank among the largest domestic buyouts on the UAE capital market this year and would streamline Emaar's corporate structure heading into its next phase of residential development in Dubai. Analysts say such consolidations also make it easier for a developer to reinvest profits directly into new land acquisitions and construction, rather than distributing them across a wider public shareholder base.
